2. SCOPE OF SERVICES

We provide professional coaching services, including but not limited to:

- One-on-one coaching

- Group coaching

- Workshops, trainings, and live events

- Digital products and educational materials

Coaching services are educational and developmental in nature. Results are not guaranteed and depend on individual effort and participation.

3. COACHING DISCLAIMER

Coaching is not therapy, counseling, mental health treatment, medical advice, or legal advice.

You understand that you are solely responsible for your decisions, actions, and results, and you agree that the Company is not liable for any outcomes resulting from your participation in coaching services.

4. ACCOUNT REGISTRATION & COMMUNICATION

You may be required to provide accurate and complete information to access certain Services. You agree to maintain the accuracy of your information.

By providing your email address, you consent to receive communications related to your Services. You may opt out of marketing emails at any time.

5. PAYMENTS & BILLING

Payments are processed securely through third-party payment processors, including Stripe and PayPal.

You authorize us to charge your selected payment method for all purchases and agree to provide current, complete, and accurate billing information.

6. DIGITAL DELIVERY

All Services, including coaching sessions and digital products, are delivered electronically via online platforms.

Digital products, recordings, and downloadable materials are deemed fully delivered upon access.

7. NO REFUND POLICY (GENERAL RULE)

Except as expressly stated in Section 10 (Termination Without Cause), all sales are final.

There are no refunds for:

- Digital products

- Recordings

- Downloadable materials

- Coaching sessions already delivered

- Missed or unused sessions

Chargebacks or payment disputes for services rendered are prohibited and may result in termination of access.

8. RECORDING CONSENT

By participating in coaching sessions, group calls, workshops, or events, you acknowledge and agree that sessions may be recorded.

Recordings may be used for program delivery, client access, training, or quality assurance. All recordings are the exclusive intellectual property of Coach Kimberly Smith LLC and may not be shared or distributed without written permission.

9. INTELLECTUAL PROPERTY

All Website content, coaching materials, recordings, frameworks, worksheets, and digital products are owned by Coach Kimberly Smith LLC.

You are granted a limited, non-transferable, revocable license for personal use only. Unauthorized reproduction, distribution, or resale is strictly prohibited.

10. TERMINATION WITHOUT CAUSE & REFUNDS

Mutual Right to Terminate

Either you or Coach Kimberly Smith LLC may terminate Services at any time and for any reason, with or without cause, by providing written notice.

Refund Upon Termination

If termination occurs without cause:

- You may receive a pro-rated refund for unused live coaching services only

- Services already delivered are non-refundable

- Digital products, recordings, and downloaded materials are non-refundable

- Refunds will be processed within 14 business days, if applicable

Termination does not relieve either party of obligations incurred prior to termination.

11. TERMINATION FOR CAUSE

We reserve the right to terminate Services immediately if you violate these Terms, misuse Services, or engage in disruptive, abusive, or inappropriate behavior. No refund will be issued for services already rendered.

12. CONFIDENTIALITY

Coaching communications are treated as confidential except where disclosure is required by law or necessary for safety.

Participants in group settings agree to maintain the confidentiality of other participants.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Coach Kimberly Smith LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Services.

Our total liability shall not exceed the amount paid for Services rendered.

14. INDEMNIFICATION

You agree to indemnify and hold harmless Coach Kimberly Smith LLC from any claims, damages, losses, or expenses arising from your actions, decisions, or violation of these Terms.

15. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of Washington, United States.

Any disputes shall be resolved exclusively in the state or federal courts located in Washington.

16. MODIFICATIONS

We reserve the right to update or modify these Terms at any time. Continued use of the Website or Services constitutes acceptance of the updated Terms.
